Our fee structure for the purchase of a company share unit

Our fees are charged on a time basis + GST + office services (5% of base fee)

Our attendances in assisting you with the purchase will differ depending on each transaction. Most often our attendances will include (but are not limited to):

  • Reviewing the contract and reporting to you;
  • Reviewing the Occupation Licence;
  • Making enquiries and obtaining information (levies, minutes and financials);
  • Reviewing company share documents (constitution, minutes, financials);
  • Negotiating changes to clauses and time frames within the contract;
  • Requests for extensions;
  • Financing requirements prior to confirmation including liaising with your bank/broker, deed of covenant and arranging for company consent;
  • Correspondence with the company and/or the company’s solicitors regarding director consent;
  • Confirmation or cancellation of contract;
  • Payment of deposit;
  • Preparing the share transfer form;
  • Receiving loan documents, preparing and attending to lender requirements and signing;
  • Attending to signing of occupation licence and share transfer forms;
  • Searching Personal Property Security Register;
  • (If the company does not have a solicitor and/or secretary) additional attendances arranging for director consent, preparing the occupation licence, arranging for signing and registration;
  • Attending to settlement.

Our hourly rates are between $280 to $440 plus office services of 5% and GST. We reserve the right to render accounts monthly. Otherwise an invoice will be rendered before settlement for payment on settlement.

Independent Legal Advice

There may be some circumstances where due to the nature of the transaction you are required to obtain independent legal advice from a solicitor at a different law firm. We may not be able to ascertain this at the outset of your file and will use our best endeavours to advise you of this requirement (for example if a conflict arises) as soon as this becomes apparent. There will be an additional cost for independent legal advice. For an indication of this cost, you will need to contact the solicitor providing you with the independent legal advice.
